Anthropic says it has filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission for its proposed initial public offering of Class A common stock. This public filing follows a confidential draft submitted earlier this year, and the offering terms are not set yet.

What the filing sets out

Anthropic, PBC intends to list its Class A shares on the Nasdaq Global Select Market under the ticker “ANT,” according to the company’s announcement. Goldman Sachs and Morgan Stanley are named as contacts for the preliminary prospectus once it is available.

The S-1 itself says that immediately before the offering closes, a single Class F common share will be issued to a Founder LLC run by the co-founders. That share carries 50.1% of total voting power on matters submitted to stockholders.

Financials reported so far

Secondary coverage of the filing, reported by Yahoo Finance, puts Anthropic’s revenue at about $16.3 billion for the six months to June 2026, compared with $4.6 billion for all of 2025. The same reporting gives a net loss of about $80.7 billion through June 2026, which it says is mostly from accounting charges, after a $42 billion loss in 2025.

That coverage also says about one-fifth of revenue came from two customers, and that Anthropic spent about $9 billion on AI infrastructure in the first half of 2026, versus $7.3 billion in all of 2025. These numbers come from outlets reading the filing, not from Anthropic’s announcement.

What is still blank

The share count, price range, raise size and valuation have not been determined. The registration statement has not yet become effective, and until it does, the shares cannot be sold and offers to buy cannot be accepted. No trading date has been set.

Our read: Revenue growth is the headline, but the reported losses, customer concentration and the founders' 50.1% voting power are the points public investors will weigh once a price range appears.

Who should care

Investors, partners and enterprise customers now have a primary document to read about Anthropic’s finances, and the full financial sections and risk factors are where the detail will be.
